These Terms of Service (“Terms”) form a binding agreement between you and TT Phoenix Group LLC, doing business as Phoenix Access (“Phoenix Access,” “we,” “us,” or “our”), governing your use of phoenixaccess.vip and any Phoenix Access account, subscription, application, or VPN-related service that links to these Terms (collectively, the “Services”).
1. Agreement and eligibility
By accessing or using the Services, you agree to these Terms, our Privacy Policy, Refund Policy, and Acceptable Use Policy. If you do not agree, do not use the Services.
You must be at least 18 years old and legally capable of entering a contract. If you use the Services for an organization, you represent that you are authorized to bind it, and “you” includes that organization.
The current website is informational. A paid contract begins only after enrollment is enabled, the material subscription terms are displayed, you affirmatively agree, and payment is accepted.
2. The Services
Phoenix Access provides access to subscription-based digital services, which may include VPN software, network access, setup guidance, account administration, and customer support. Service features, supported devices, server regions, performance, and availability may vary by plan and may depend on third-party infrastructure.
A VPN routes traffic through VPN infrastructure but does not make you anonymous, prevent all tracking, protect against every threat, or replace safe browsing, security updates, authentication, backups, or other safeguards. Websites, apps, account providers, cookies, malware, and information you disclose may still identify you.
We may update the Services to improve security, reliability, compatibility, or legal compliance. We will provide notice when a change materially reduces a paid Service where required by law.
3. Accounts and credentials
You must provide accurate, current information and keep it updated. You are responsible for activity through your account and for maintaining the confidentiality of credentials and activation details. Do not share access beyond the device or user limits disclosed for your plan.
Notify us promptly at ttphoenixgroup@gmail.com if you suspect unauthorized access. We may require reasonable verification before changing account information or processing sensitive requests.
4. Prices, payment, renewal, and cancellation
Before purchase, we will display the price, taxes or fees known to us, subscription period, renewal terms, cancellation method, and material plan limitations. You authorize us and our payment processor to charge the payment method you provide for the disclosed amounts.
Automatic renewal. If you choose an automatically renewing plan, it renews for the period disclosed at checkout until canceled. We will obtain your affirmative consent before charging you. Where required, we will send a renewal reminder within the legally required period, including between 30 and 60 days before the cancellation deadline for covered annual service contracts.
Cancellation. You may cancel through the account method provided at enrollment or by emailing ttphoenixgroup@gmail.com from the account email. We will not require a cancellation method that is materially harder than enrollment. Cancellation stops future renewal charges and normally leaves access active through the paid term.
Refunds. Refund eligibility is governed by our Refund Policy and non-waivable law. Cancellation alone does not automatically create a refund.
We may change future prices by giving advance notice required by law. A price change will not affect an already-paid term and will take effect no earlier than the next renewal after notice. If you do not agree, cancel before renewal.
5. Acceptable use
You must comply with our Acceptable Use Policy and all applicable laws. You may not use the Services to harm others, interfere with networks, distribute malware, infringe rights, send unlawful unsolicited communications, evade lawful access controls, or facilitate illegal activity.
We may investigate suspected misuse and may restrict or suspend access when reasonably necessary to protect users, the Services, our providers, or the public; comply with law; or enforce these Terms. We will use reasonable efforts to provide notice and an opportunity to respond when circumstances permit.
6. Third-party services
The Services may rely on or link to third-party software, app stores, payment processors, networks, and websites. Their separate terms and privacy notices may apply. Phoenix Access is responsible for its own obligations but does not control independent third-party services.
7. Ownership and license
The Services, branding, site content, software interfaces, and related materials are owned by Phoenix Access, TT Phoenix Group LLC, or their licensors and are protected by intellectual-property laws. Subject to these Terms and your paid plan, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for lawful purposes. You may not copy, modify, reverse engineer, resell, sublicense, or commercially exploit them except where applicable law expressly permits.
You retain ownership of information you submit. You grant us the limited rights needed to host, process, transmit, and use it to provide, secure, support, and improve the Services as described in our Privacy Policy.
8. Availability and service limitations
Internet and VPN performance can vary with location, network conditions, congestion, device, protocol, maintenance, and third-party systems. We do not guarantee uninterrupted availability, a particular speed, access to every website or region, or compatibility with every device or network. We may perform maintenance, respond to emergencies, retire insecure configurations, or change server availability.
You are responsible for determining whether VPN use is lawful where you are located and for maintaining access to your account and recovery email. Do not rely on the Services for emergency communications, life-safety systems, or any use where interruption could cause physical injury or substantial property damage.
9. Suspension and termination
You may stop using the Services and cancel renewal at any time. We may suspend or terminate access for material breach, nonpayment, fraud, security risk, unlawful conduct, provider or legal requirements, or discontinuation of a Service. When reasonable, we will provide notice and an opportunity to cure. Immediate action may be taken for urgent security, legal, or safety concerns.
If we discontinue a paid Service for reasons unrelated to your breach, we will provide a prorated refund for the unused prepaid period unless we offer a substantially equivalent replacement and applicable law permits it. Provisions that by their nature should survive will survive termination, including ownership, payment obligations, disclaimers, liability limits, dispute terms, and enforcement rights.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PHOENIX ACCESS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, COMPLETELY SECURE, OR EFFECTIVE FOR EVERY PURPOSE.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHOENIX ACCESS AND TT PHOENIX GROUP LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PHOENIX ACCESS FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT OR (B) US $100.
These limits do not apply where prohibited or to liability that cannot legally be limited, including liability for fraud, willful misconduct, or personal injury caused by negligence where applicable law so provides.
12. Indemnification
To the extent permitted by law, if you use the Services on behalf of a business, you will defend and indemnify Phoenix Access and TT Phoenix Group LLC against third-party claims, losses, and reasonable costs arising from that business’s unlawful use, material breach of these Terms, or infringement of another person’s rights. This obligation does not apply to the extent a claim results from our own conduct. Consumers are responsible for their own breach and misuse but are not subject to this business indemnity.
13. Governing law and disputes
Before filing a formal claim, you and Phoenix Access agree to make a good-faith effort for 30 days to resolve it by written notice. Send notice to ttphoenixgroup@gmail.com with a description of the dispute and requested resolution. This does not prevent either party from seeking urgent injunctive relief or using an applicable small-claims process.
These Terms are governed by Florida law, without regard to conflict-of-laws rules. Any court proceeding must be brought in a state or federal court with lawful jurisdiction in Florida, unless applicable consumer law gives you the right to proceed elsewhere. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14. General terms
These Terms and the policies incorporated into them are the entire agreement about the Services. If a provision is unenforceable, it will be modified only as much as needed, and the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or sale of the business.
We may update these Terms. Material changes will be posted with a new effective date and accompanied by additional notice where required. Changes apply prospectively. If you do not agree to a material change, you may cancel before it takes effect.
